1. Purpose

BODY TIME appoints Distributor as the Exclusive Distributor of the iBody Smart EMS Home Training System (the “Product”) within the defined Territory (see Clause 5), based on the investment tier selected by the Distributor.

2. Exclusive Rights

Subject to the terms of this Agreement, BODY TIME grants Distributor exclusive rights to market, sell, and distribute the Product in the defined Territory, for the duration of the Agreement, provided performance obligations are met.

3. Investment & Minimum Purchase Requirements

Distributor agrees to purchase inventory according to the selected package:

Orders shall be prepaid in full before shipment.
The Supplier reserves the right to adjust pricing with 60 days’ written notice.

4. Term and Renewal

Initial term: 12 months from the Effective Date.
Renewal: Automatic renewal for successive 12-month terms, unless terminated with 60 days’ notice.
Failure to meet minimum annual purchase obligation may result in revocation of exclusivity.

5. Territory

Territory granted to Distributor is: [Insert Country/City/Region]

Exclusivity applies only within the defined territory.
Distributor agrees not to actively market or sell outside the assigned territory without prior written consent.

6. Marketing and Branding

Distributor agrees to:

Use official BODY TIME and iBody branding, promotional materials, and approved messaging.
Allocate at least 5% of gross annual sales to local marketing and advertising.
Maintain a localized website or landing page (if requested) linking to BODY TIME X and iBody EMS product info.

7. Support & Training

BODY TIME will provide:

Product training for Distributor and staff
Marketing assets and promotional guidance
Access to BODY TIME X CRM and tools (optional based on tier)

8. Termination

This Agreement may be terminated:

By either party with 60 days written notice
Immediately if either party breaches material obligations
Automatically if Distributor fails to meet annual purchase minimums after a grace period of 30 days

9. Intellectual Property

Distributor shall not modify, copy, or claim ownership of any trademarks, patents, or content related to iBody or BODY TIME.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates.

11. Confidentiality

Both parties agree to keep all business, financial, technical, and product-related information strictly confidential.

12. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior discussions or agreements.
